Class A Preferred Shares

• Non-voting shares at a price of $10 unit value.

Minimum Subscription

• $25,000 (2,500 shares) for accredited investor or investors participating under the Offering Memorandum (OM) Exemption (excluding Ontario) across Canada.
• $150,000 (15,000 shares) for all other investors (NI 45-106 CSA regulation).

Maximum Offering

• The Shares are being offered on a continuous basis subject to a maximum offering issue of $100,000,000 (10,000,000 Shares). There is no minimum offering size. It should be noted that funds obtained pursuant to the Offering may not be sufficient to accomplish the stated objectives of the Corporation.
